Experience
Bruce Costain has over 23 years of legal experience in a wide range of commercial, property, finance and insolvency transactions. He regularly acts for:
- directors, shareholders and joint venture partners on corporate governance issues, including drafting and negotiating shareholder agreements, constitutions, limited partnership agreements and other ancillary documents;
- companies and limited partnerships in acquisition and merger transactions;
- vendors and purchasers in business and share acquisitions and dispositions, including drafting and negotiating sale and purchase agreements and providing advice in relation to appropriate warranties and purchase price structuring;
- vendors and purchasers in commercial, industrial and residential property acquisitions and dispositions, including drafting and negotiating sale and purchase agreements;
- landlords and tenants of commercial, industrial and residential property, including drafting and negotiating leasing and licensing arrangements;
- lenders (including banks, finance companies and syndicates) and borrowers in financing transactions, including drafting and negotiating loan/facility, security, guarantee and priority documentation;
- lenders, receivers, liquidators and administrators advising on debt recovery, enforcement of securities, mortgagee sales, priority issues and settlement agreements.
